connected business platform.

By accessing or using JNR ZONE, you agree to these Terms of Service and any order form, proposal, implementation statement, subscription schedule or other written agreement that expressly incorporates these terms.

If you use JNR ZONE on behalf of a company or other organisation, you represent that you have authority to bind that organisation to the applicable agreement.

JNR ZONE may provide software modules, web and mobile interfaces, customer portals, warehouse and delivery tools, finance workflows, reports, integrations, implementation, migration, training, maintenance and support.

The exact services, modules, usage limits, implementation scope, service period and fees for a customer are determined by the applicable proposal, order form or other written agreement.

• You must provide accurate information when creating or maintaining an account.
• You are responsible for keeping usernames, passwords and authentication credentials confidential.
• Each user must use the platform only within the permissions granted to that account.
• You should notify us promptly if you become aware of unauthorised account access or credential compromise.

You retain ownership of business data that you or your authorised users submit to JNR ZONE, subject to any rights held by third parties.

You grant JNR ZONE the rights reasonably necessary to host, process, transmit, back up and otherwise handle customer data for the purpose of providing, securing, maintaining and supporting the services.

You are responsible for ensuring that you have the necessary authority and lawful basis to provide personal information or other third-party data to JNR ZONE.

You must use JNR ZONE lawfully and in a way that does not compromise the platform, other users or third-party rights.

• Do not attempt to bypass authentication, security controls or access restrictions.
• Do not upload malicious code or deliberately interfere with platform availability or performance.
• Do not use the service to violate applicable law or the legal rights of another person.
• Do not access another customer’s data without authorisation.
• Do not reverse engineer the platform except to the extent such restriction is prohibited by law.

Fees are set out in the applicable quote, proposal, order form or subscription schedule. Unless stated otherwise, prices are in Australian dollars and GST will be dealt with as required by law.

Payment due dates and billing frequency will be stated in the applicable commercial agreement. If an undisputed amount remains overdue, we may contact you to resolve the issue and may suspend affected paid services where permitted by the agreement and law, after providing reasonable notice where appropriate.

Implementation activities may include configuration, data preparation, migration, workflow design, testing, training and deployment. Both parties may need to provide information, access, decisions and resources for implementation to progress.

Migration quality depends on the completeness, accuracy and format of source data. We will use reasonable care in performing agreed migration work, but customers should review migrated data and promptly report material issues.

We aim to operate JNR ZONE reliably, but uninterrupted availability cannot be guaranteed. Maintenance, updates, infrastructure incidents, internet failures, third-party service failures or events outside reasonable control may affect availability.

Where practical, we will try to schedule planned maintenance to reduce unnecessary disruption.

JNR ZONE and its licensors retain ownership of the platform, software, interface designs, documentation, branding, code, templates and other intellectual property supplied as part of the service, except for customer data and any material expressly agreed otherwise in writing.

During the applicable service period, you receive a limited, non-exclusive and non-transferable right to use the platform for your internal business purposes in accordance with the applicable agreement.

Each party should protect the other party’s confidential information using reasonable care and use it only for purposes connected with the business relationship, except where disclosure is authorised, already lawfully known, independently developed, publicly available through no breach, or required by law.

To the maximum extent permitted by law, any warranties or conditions not expressly stated in the applicable agreement are excluded. However, nothing in these terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.

Any agreed limitation of liability should be read together with the applicable order form or negotiated customer agreement. Liability limitations do not apply to the extent they are prohibited by law.

Subscription duration, renewal and termination rights are determined by the applicable commercial agreement. A party may also have termination rights where the other party commits a material breach and does not remedy it within any applicable cure period.

We may suspend access where reasonably necessary to address a serious security threat, unlawful use or material risk to the platform, and will act proportionately in the circumstances.

Data export or transition assistance following termination may be available where agreed and may be subject to reasonable technical limitations and applicable fees.

We may improve, update or change the platform over time. Material changes that significantly reduce paid functionality during a committed service period will be handled consistently with the applicable customer agreement.

We may update these terms from time to time. For existing paid customers, the version that applies and the effective date of material changes should be determined by the applicable agreement and any notice requirements.

Unless a written customer agreement states otherwise, these terms are governed by the laws of Victoria, Australia, and the parties submit to the courts and tribunals having jurisdiction in Victoria.

Before commencing formal proceedings, the parties should generally try in good faith to resolve commercial disputes through direct discussion, unless urgent relief is required.
